
February 2025: Pennsylvania's new company annual report requirement is here
We just wrote about the federal Beneficial Ownership Information (or BOI) Report that most small businesses operating in the US must file by March 21, 2025. But wait, there's more--at least for companies that operate in Pennsylvania.

That's right, businesses that operate in PA now have not 1, but 2, new government reports to file in 2025.
​
Pennsylvania now requires all businesses--no matter their size, for-profit and non-profit, in-state and out-of-state--to file an annual report with the PA Department of State (DOS) starting in 2025 and each year thereafter.
​
The annual report collects basic information about the company (name, jurisdiction of formation, registered office, DOS file number) and its governors and directors. A company's annual report due date is based on what type of entity it is. Corporations (for-profit and non-profit) must file by June 30. LLCs must file by September 30. All other entities, such as limited partnerships, must file by December 31.

The filing fee for for-profit entities is $7.00. The annual report is free for non-profit entities.
​
A company that doesn't file an annual report on time could lose its exclusive right to its corporate name, meaning another company could then use and incorporate under that name. Because these reports are new for 2025, there's a grace period, and nothing bad like that would happen until 2027--but why risk it?
